By accessing or using the PrePlan Portal platform, dashboard, SMS automation, and associated services (collectively, the "Services") provided by PrePlan Portal ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

PrePlan Portal provides a guided pre-need planning platform for funeral homes. Our Services include:

• Guided pre-need planning experience with live cost estimation
• Save and resume functionality for incomplete plans
• Automated abandonment recovery follow-up
• Consultation booking integration
• Revenue and conversion tracking dashboard

You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

When you create a PrePlan Portal account, you are responsible for:

• Maintaining the security of your login credentials
• All activities that occur under your account
• Ensuring that your use complies with applicable laws and regulations, including telemarketing and SMS consent laws
• The accuracy of information you provide, including your funeral home details and service pricing

We are not responsible for any loss resulting from unauthorized access to your account due to your failure to safeguard your credentials.

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Distribute malware, spam, or harmful content
• Engage in fraudulent, deceptive, or manipulative activities
• Attempt to interfere with or disrupt the integrity of the Services
• Reverse engineer, decompile, or attempt to extract source code from our proprietary software
• Use the Services for money laundering or terrorist financing

Our trademarks, logos, branding, and proprietary software remain our exclusive property and may not be used without prior written consent.

Data and content you provide through the Services (such as service descriptions and funeral home information) remains yours. We use it solely to deliver our Services to you.

You acknowledge that:

• Automated follow-up messages are sent to visitors who have initiated a pre-need plan on your website
• You are responsible for compliance with applicable email and messaging regulations
• Message delivery depends on third-party services and is not guaranteed
• Standard messaging rates may apply to recipients
• We do not control third-party booking systems linked from the planning experience

Certain Services involve subscription fees based on the number of funeral home locations. Fee structures are transparent and published on our pricing page. Fees may be updated with reasonable notice. You are responsible for all fees associated with your use of the Services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PrePlan Portal SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

You agree to indemnify and hold harmless PrePlan Portal, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or Services. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

We may suspend or terminate your access to the Services at our discretion if you violate these Terms. Upon termination, your right to use the Services ceases immediately. You may export your call data prior to termination.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
